Terms of Service

These Terms of Service (“Terms”) govern your use of the website at the-watch.ai and related marketing pages operated by The Watch LLC (“The Watch,” “we,” “us”) (the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the marketing website only. They do not cover use of the customer-facing portal at app.the-watch.ai or our API services, which are governed by the customer agreement (including any master services agreement, data processing agreement, and applicable order forms) signed between The Watch and each customer organization. In the event of a conflict between these Terms and the customer agreement with respect to a specific customer’s use of our products, the customer agreement controls.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site. The Site is intended for use by professionals evaluating The Watch’s products on behalf of organizations and is not directed to consumers or to children.

2. Permitted use

You may use the Site to learn about The Watch’s products, request access to our portal, and communicate with us about potential business engagements.

You may not use the Site to:

  • Violate any applicable law, regulation, or third-party right.
  • Access, modify, or interfere with non-public areas of the Site, our infrastructure, or our systems.
  • Probe, scan, or test the vulnerability of the Site or any related system, except as part of a coordinated security disclosure conducted with our prior written authorization.
  • Attempt to bypass security or access controls.
  • Send automated traffic, including scraping content at volumes likely to disrupt the Site, except for indexing by major search engines using their standard practices.
  • Use the Site to send unsolicited communications, distribute malware, or impersonate any person or organization.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying ideas of any portion of the Site.
  • Misrepresent your identity, affiliation, or intent in any communication submitted through the Site.

We may suspend or terminate access to the Site for any user who we reasonably believe is violating these Terms.

3. Intellectual property

The Site and its contents (including text, images, logos, graphics, software, design, and the arrangement of these) are owned by The Watch or its licensors and are protected by copyright, trademark, and other laws. The Watch logo, the reticle mark, the names of our products, and our slogans are trademarks of The Watch LLC.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal informational use and for evaluating our products on behalf of your organization. We grant no other license, express or implied. You may not copy, modify, distribute, sell, lease, or otherwise exploit any part of the Site without our prior written permission, except as expressly permitted by these Terms or by applicable law.

You may share publicly available pages of the Site (for example, by linking to or briefly quoting them in fair-use contexts), provided you do not misrepresent the content or imply endorsement.

4. Submissions and feedback

If you submit information through the Site (for example, through the access-request form, by email, or otherwise), you represent that the information is accurate and that you have the right to submit it. We handle personal information in accordance with our Privacy Policy.

If you provide feedback, suggestions, or ideas about The Watch, our products, or the Site, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you. We are free to use such feedback without compensation or attribution.

5. Third-party content and links

The Site may include links to third-party websites or content. We provide these as a convenience and do not endorse, sponsor, or assume responsibility for third-party content. Your use of any third-party site or service is at your own risk and subject to that party’s terms.

6. Disclaimers

The Site and its contents are provided “as is” and “as available.” To the fullest extent permitted by law, The Watch disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, reliability, or timeliness of any information on the Site. The Site is informational marketing material; it is not a substitute for the customer agreement, technical documentation, or professional advice.

Statements on the Site about The Watch’s products, capabilities, or compliance status reflect our current views and may change. Specific commitments are made only in the customer agreement.

7. Limitation of liability

To the fullest extent permitted by law:

  • The Watch is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising from your use of the Site, regardless of the legal theory under which damages are sought.
  • The Watch’s total cumulative liability arising out of or relating to the Site is limited to one hundred US dollars ($100), unless prohibited by applicable law.

These limitations apply even if a remedy fails of its essential purpose and even if we have been advised of the possibility of damages. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless The Watch and its officers, directors, employees, and agents from any claim, demand, or damage (including reasonable legal fees) arising from or related to:

  • Your violation of these Terms.
  • Your violation of any law or third-party right in connection with your use of the Site.
  • Information you submit through the Site that is inaccurate, infringing, or unlawful.

We will provide reasonable notice of any claim and reasonable cooperation in the defense.

9. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, including if we reasonably believe you have violated these Terms or if we discontinue the Site.

Sections of these Terms that by their nature should survive termination will survive, including provisions on intellectual property, submissions and feedback, disclaimers, limitation of liability, indemnification, and governing law.

10. Governing law and disputes

These Terms are governed by the laws of the State of Virginia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

11. Changes to these Terms

We may update these Terms. When we do, we will update the “Last updated” date at the top. If changes are material, we will provide additional notice (for example, a banner on the Site). Your continued use of the Site after the change constitutes acceptance of the updated Terms.

We will retain prior versions of these Terms and link to them from the bottom of this page once changes occur.

12. Entire agreement

These Terms, together with the Privacy Policy and any other policies we publish on the Site, constitute the entire agreement between you and The Watch regarding the Site. They supersede any prior agreement on this subject.

These Terms do not supersede any signed customer agreement between The Watch and your organization regarding the portal or API products.
